I am currently in my final seat in capital markets. I spend the morning doing research and drafting a memorandum on incorporating a limited liability partnership and a limited company for a client on a new deal. I email the draft memorandum to the associate I am working with for his review and comments.
In the afternoon, I go for a coffee with some of the other trainees to catch up. I then attend a weekly catch-up call for a potential IPO I was staffed on and take notes on the call.
I spend the morning catching up on emails. I then help to review and comment on the UK and EEA selling restrictions for a debt issuance, which we received from colleagues in the Hong Kong office. I then send my mark-up to the associate I am working with for her review and comments.
I go for lunch with some of the associates and trainees in the canteen and we sit on the rooftop terrace at the office as the weather is nice.
Due to the general practice nature of the firm, I am working on an M&A deal alongside my supervisor and the signing of the transaction documents is planned for today. I spend the day on calls and emails with the associates on the deal, the client and the team lawyers acting on the other side. I help on various tasks such as reviewing and preparing the transaction documents for the signing.
I spend the morning reviewing the signed transaction documents and emailing the deal team and the client.
I grab lunch from the canteen and I attend the weekly training session through zoom. The firm organises these training sessions for trainee solicitors and junior associates. We also get useful materials, standard forms and deal pathways from these sessions. This week’s training session is on FCA change of control applications.
In the morning, I email local counsel in various jurisdictions where regulatory filings are required for a M&A deal. I also work on compiling a list of all the documents and information needed for the filings in each jurisdiction.
In the afternoon, I work to put together a signing bible for the M&A deal that signed on Wednesday.
