Sullivan & Cromwell LLP seeks Senior Associate, General Practice Group, in New York, NY under supervision of partners:  Advise clients on structuring, documenting, negotiating and executing mergers & acquisitions transactions (including U.S. domestic and cross-border public and private acquisitions and divestitures, mergers, tender offers, private equity transactions, joint ventures and minority investments) and take the lead in drafting and reviewing all relevant transaction documentation, including merger agreements, stock/asset purchase agreements, tender offer documents, proxy statements, registration statements, financial advisor engagement letters, fairness opinions, board materials. Requirements: J.D. or foreign equivalent. Experience in job offered or related occupation must include at least three (3) years of experience at an international law firm: researching, analyzing, reviewing and drafting memoranda, contracts and other agreements and legal documents relating to mergers & acquisitions; structuring, documenting, negotiating and executing mergers & acquisitions transactions, including domestic and cross-border public and private acquisitions, business combinations, mergers, divestitures or equity investments in each case, including cash or securities; negotiating and executing joint venture and other strategic partnership transactions; and advising reporting persons on periodic reports under the Securities Exchange Act of 1934 and stock exchange listing requirements, compliance with Regulation 13D, corporate governance matters, takeover defense and preparedness, and other legal inquiries relating to corporate, partnership and securities law matters.
